Item 5.02.  Departure of Directors or Certain Officers; Election of Directors;
            Appointment of Certain Officers; Compensatory Arrangements of

            Peter Blackmore, executive vice president and president of worldwide
sales, marketing and technology, will be leaving Unisys Corporation at the end
of June 2007 to join another company as president and chief operating officer,
with a planned transition to chief executive officer.
